Managing Variations & Resolving Payment Disputes on UAE Projects

Variations — changes to the scope of work — are routine on construction projects, but financially and legally complex. Payment disputes arise when the contractor submits a progress claim and the employer refuses, delays, or underpays. In the UAE, cash flow is the lifeblood of construction operations, so understanding your contractual payment rights and variation procedures is essential to financial stability.

Variation & Payment Disputes in the UAE

Variations are governed by contract, not law. Under FIDIC, the Engineer can order variations (Sub-Clause 13.1), but the contractor must not commence work on a variation without Engineer instruction — proceeding speculatively forfeits the claim. We ensure your contract specifies who can authorize variations, the required format, the valuation method, and payment timing, because without these provisions variations become a source of dispute.

Valuation depends on the contract’s pricing mechanism: contract rates apply if the variation is of a type already contemplated; otherwise a new rate must be agreed or determined by the Engineer, typically via a cost breakdown with a defensible 15-20% profit margin. Payment disputes arise when the employer withholds or delays payment on progress claims. Some contracts include step-in or suspension provisions if payment is delayed beyond a threshold, and interest on late payments (typically 5-10% per annum) may be claimable. The most practical remedy is early engagement — escalating promptly, requesting a revised payment schedule, and assessing whether the employer has legitimate withholding claims. You are safer demanding written instruction before commencing work. If you proceed on a verbal instruction, document it immediately by email confirming the instruction and requesting written confirmation. Proceeding on undocumented verbal instructions is high-risk and often results in disputed, unpaid variations.
Industry standard is 15-20% of direct cost, covering overhead, supervision, and contingency; margins above 25% are often negotiated down. Materials should carry a modest 5-10% handling markup, not 20-30%. Break down claims by direct materials, labour, subcontractor costs, plant hire, and overhead/profit so each component is defensible.
Only if your contract grants explicit suspension rights, and only after following the required notice procedure strictly (typically 7-14 days’ written notice). If the contract is silent, do not suspend without legal advice — the cost of delay-damage exposure often exceeds the benefit of accelerating payment. Escalate internally and propose a revised payment schedule first.
Not advisable — outright refusal risks a material breach finding. Instead, formally challenge the defect claim, clarify responsibility, and propose conditioning progress on release of payment less a disputed deduction estimate. Engage in good faith; courts penalise parties who obstruct projects.
If the contract requires Engineer authorization, notify the Engineer immediately in writing that the work was ordered by the superintendent and request written confirmation of approval or remediation. Always confirm variation authorization with the Engineer directly to avoid this trap.
